About The Role:

In-house corporate generalist primarily focused on the drafting, negotiation and review of commercial contracts (technology focused) and assisting the Legal Director, RWS Technology on various legal assignments as necessary.  The successful candidate will be part of a growing, proactive and energetic global legal team, reporting directly into the Legal Director, RWS Technology.

Responsibilities:

  • Review and negotiate all forms of contracts and third party agreements with customers, vendors and partners worldwide (including without limitation, SaaS, software license agreements, maintenance and support agreements, services agreements, reseller, alliance agreements, and leases). Emphasis is on sound service delivery, appropriate and pragmatic solutions, quick turnaround time and high quality advice on legal aspects of all contract negotiations.
  • Advise technology division on legal issues relating to corporate contracts currently under review or negotiation.
  • Work with business division to deliver a first class proactive transactional support for technology contracts and services where required.
  • Ensure timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients.
  • Operate in a collaborative manner with the legal team and adhere to the rules of engagement on risk management following the corporate risk matrix structure. 

Requirements:

  • JD degree or equivalent degree or legal qualification.
  • Minimum 5 years’ experience as a PQE (preferably as in-house counsel) with an active license to practice law.
  • Qualified candidates must have expertise in many areas of domestic and international business and intellectual property law. Including exposure to Commercial Law, IT Law or international commercial contracts, and understanding of privacy issues.
  • Experience working within a fast paced sales environment is ideal.
  • Flexibility and eagerness to work on a broad range of legal matters.
  • General experience with working in an international and multicultural working environment with geographically dispersed team members.
  • Competent in Word, Excel and PowerPoint.
  • Demonstrate strong contract negotiation and drafting skills, and substantive expertise with key provisions of most contracts, with specific experience in complex IT/software technology agreements.
  • The successful candidate must be capable of providing sound, practical advice in response to complex and rapidly changing conditions, be able to make a positive contribution in a very collegial working environment, be able to work with cross-functional teams, work as a team player, take an active role in driving solutions and work under pressure to meet short deadlines.
  • The candidate should demonstrate excellent business sense and judgment, possess well developed analytical problem-solving and excellent multi-tasking abilities.
  • Excellent written and verbal English communication skills, a second language is a plus.
  • Strong organizational skills and strong interpersonal and relationship development skills.
  • Self-motivated individual with a flexible and efficient working style.
