Banking Capital Markets and Advisory Legal (BCMA Legal) supports the Investment Banking and Capital Markets businesses globally within Citi.Accordingly, BCMA Legal’s advice impacts both domestic and cross-border transactions.

In this role, the Senior Paralegal will be a member of the BCMA Legal team in Tampa.Accordingly, the BCMA Legal Senior Paralegal will support attorneys in Tampa and New York in providing legal advice relating to deal execution.

• Assist senior attorneys in handling heavy transaction flow (including, Mergers and Acquisitions (M&A), equity, investment grade debt, high yield and liability management transactions).
• Review, analyze and negotiate points on various transaction documents, including underwriting agreements, purchase agreements, comfort letters, opinions, engagement letters and confidentiality agreements. Responsible for ensuring such documents comply with firm standards.
• Typically assigned to cover (and become an expert on) specific product areas (M&A, equity, investment grade debt, high yield, liability management, etc. ) in addition to covering general Corporate and Investment Banking Division (CIB) issues.
• Answer CIB/capital markets/M&A procedural, policy and other questions from CIB bankers, Capital Markets Origination bankers, outside counsel, etc.

Qualifications:

Requires the ability to understand complex transactional issues; involved in execution and documentation aspects of transactions. Assist in identifying legal and franchise risks that bankers and outside counsel may not anticipate. Requires the ability to negotiate or explain important legal and franchise issues directly with outside/opposing counsel or the banking team. B.A or B.S. from an accredited 4 year college or university.
